Omar Farid is a partner and the head of the Capital Market and Corporate Team at Alliance Law Firm. With over 15 years of experience, he specializes in corporate finance, capital market, mergers and acquisitions, restructuring, insurance, non-banking financing activities, commercial, employment law, and general corporate matters.

Throughout his career, he has advised multinationals, major local businesses, listed companies, investment and venture capital funds and their portfolio companies in complex and strategic business transactions. These include mandatory tender offerings (MTOs), initial public offerings (IPOs), block trading, secondary acquisitions, private placements, capital restructuring, equity & debt fundraising, M&As, divestitures, spin-off, joint ventures, venture capital, venture debt, restructuring and corporate governance.

Within his practice he represented clients before the Financial Regulatory Authority (FRA) regarding licensing for financial non-banking activities, approvals for new financing and regulated products, compliance with governance and listing rules, exemptions, investigations, and settlements related to insider dealing, market abuse, non-compliance, and other matters under the FRA supervision.

Omar has represented various multinationals and major local clients across industries such as manufacturing, insurance, investment banking, brokerage, custody, microfinance, consumer finance, fintech, renewable energy, logistics, tourism, real estate, retail, sports, and trading.

 

Key Transactions

  • Represented Alsara Investment Group in their successful partnership with CVC Capital Partners, which included the relevant equity fundraising to acquire Unilever’s tea business, Ekaterra. The acquisition of Ekaterra has been valued at € 4.5 Billion on a cash-free, debt-free basis.
  • Advised TITAN Egypt on the capital restructuring of Alexandria Portland Cement Co. in the stock market, amounting to EGP 2.2 billion.
  • Advised Aristote International on the acquisition of 27% of Al Arafa for Investment through a block trade mechanism, with a transaction value of USD 27 million.
  • Advised ICON Egypt on the submission of a hybrid Mandatory Tender Offer on acquiring 100% of ACROW Egypt, with an amount of EGP 700 million.
  • Represented major investors in submitting a cash Mandatory Tender Offer for the acquisition of 100% of the Industrial Engineering Company for Construction and Development (ICON), with an amount of EGP 120 million.
  • Lead a team for establishing and licensing Egypt’s first charity investment fund, with targeted size of EGP 1 billion.
  • Advised and represented a major shareholder in a multinational FMCG in selling its stake with an amount exceeding USD 400 million.
  • Successfully represented Amlak Finance, the leading UAE Islamic Finance firm, for divesting assets with transaction value of EGP 1.28 billion.
  • Represented number of investors in acquiring a 20% stake in CI Capital and participating in the private placement of CI Capital’s IPO.
  • Advised a multinational corporation in the building materials sector on restructuring its group of companies in Egypt, with a total value of EGP 6 billion.
  • Represented several major local and multinational investors before the FRA in cases related to capital market violations, including but not limited to insider dealing and market abuse.
  • Represented a number of fintech start- ups in relation to seed and series A equity funding, resulting in a total fund-raised amount of USD 30 million.
